Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of ClearShelf, a Shopify-embedded application (the “Service”), provided by ClearShelf (“we,” “us”). By installing ClearShelf on your Shopify store, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not install or use the Service.
The service
ClearShelf identifies dead stock and slow-moving inventory in your Shopify store using metrics such as sell-through rate, GMROI, and days since last sale, and lets you build segments and workflows that automatically take action on matching products — including price markdowns, tagging, archiving, and email notifications.
The Service depends on data provided by the Shopify Admin API. We are not responsible for inaccuracies caused by incomplete, delayed, or incorrect data returned by Shopify or by third-party systems connected to your store.
Automated actions
ClearShelf’s core function is to execute actions you configure — including changes to product prices, tags, and status — without requiring manual approval at the time of execution. By creating a segment and attaching a workflow to it, you authorize ClearShelf to carry out the configured actions automatically against any product that matches.
- You are solely responsible for reviewing and testing workflows before activating them, including on a small segment first.
- You are responsible for the accuracy of pricing rules, discount percentages, and tags you configure.
- ClearShelf logs every action taken in the audit trail; you are responsible for monitoring this log and pausing or correcting workflows that produce unintended results.
- We are not liable for revenue loss, mispriced products, or other consequences resulting from workflows you configured, including misconfiguration.
Accounts & eligibility
You must have an active Shopify store and the authority to install third-party applications on that store to use ClearShelf. You are responsible for maintaining the security of your Shopify account and for all activity that occurs through it.
Billing & trials
ClearShelf is offered on Starter, Growth, and Pro subscription plans, each billed monthly through Shopify’s recurring billing API. New subscriptions include a 14-day free trial; you will not be charged until the trial period ends unless you cancel beforehand. You may upgrade, downgrade, or cancel your plan at any time from the Plans & billing page inside the app. Fees are non-refundable except where required by law or at our discretion.
Acceptable use
You agree not to:
- Use the Service to violate any applicable law or Shopify’s own merchant or developer terms
- Attempt to reverse-engineer, decompile, or interfere with the Service’s infrastructure
- Use the Service to process data for a store you do not have authorization to manage
- Resell, sublicense, or white-label the Service without our prior written consent
Intellectual property
ClearShelf and its original content, features, and functionality are owned by us and are protected by applicable intellectual property laws. Your store data remains your property; we do not claim ownership over your product, order, or customer data.
Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that calculated metrics (such as STR or GMROI) will be perfectly accurate at all times.
Limitation of liability
To the maximum extent permitted by law, ClearShelf and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost revenue, arising from your use of the Service — including damages resulting from automated actions taken by workflows you configured. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months preceding the claim.
Termination
You may stop using ClearShelf at any time by uninstalling the app from your Shopify admin. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if required to do so by Shopify. Upon termination, your data will be handled as described in our Privacy Policy.
Changes to the service or terms
We may modify or discontinue features of the Service, and may update these Terms from time to time. We will post the revised Terms on this page with an updated date, and material changes will be communicated to active merchants by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by applicable law in the jurisdiction in which ClearShelf operates, without regard to conflict-of-law principles, except where overridden by mandatory consumer-protection or data-protection law in your jurisdiction.
